DLM Innovations Consulting

These terms cover the website at https://dlminnovations.com and inquiries to DLM Innovations LLC, doing business as DLM Innovations Consulting (“DLM,” “we”). DLM Innovations Consulting is a name used by DLM Innovations LLC, a New York limited liability company (Department of State ID 6270230). It is not a separate company.
These terms do not cover ScanStation or PropsBot.AI. Those products have their own terms on their own sites. A signed proposal for a consulting job controls that job if it conflicts with this page.
1. The site
dlminnovations.com describes our consulting work and our own products. It is not an offer to build a particular project, and it is not a contract. Emailing us, or using the contact link, is an inquiry. We may decline any inquiry.
2. A proposal is not a contract until it is signed
A proposal, estimate, or email is an offer only when we say it is. It expires on the date stated, or after 14 days if no date is stated. Work starts when you sign the proposal and pay any amount it says is due on signing. Until then, neither side is bound to the job.
Each job is scoped in its own signed proposal. The proposal states the price, what is included, the payment schedule, and what happens if the job stops. Anything outside that scope is a change, billed as the proposal says, or quoted before we do it.
3. What you keep, and what we keep
You keep your existing materials, your data, and your brand. We keep our pre-existing tools, libraries, prototypes, and methods. Unless the signed proposal expressly assigns named work to you, we retain the underlying code and any improvement to our own tools. Paying for a job does not transfer ScanStation, PropsBot.AI, or any other product we own.
If a proposal says the finished site or code becomes yours, that transfer happens only when the final payment in that proposal clears.
4. Your materials
You confirm you have the right to give us the files, logos, and accounts you send. Do not send us passwords, API secrets, or ScanStation show data. We do not need them to answer an inquiry.
5. No promise of a result
We do not promise rankings, traffic, revenue, or that a third-party platform will keep working as it does today. A consulting engagement is for the work described in the signed proposal, not for a business outcome.
6. The site itself
You may read this site and link to it. You may not copy our work samples, text, or design for your own commercial use, or suggest that we endorse you. ScanStation and PropsBot.AI are named here as our products. Their terms are on their own sites.
7. Law
These terms are governed by the laws of the State of New York. Except where the law gives you a non-waivable right to sue elsewhere, the state and federal courts in Monroe County, New York, are the venue. A signed proposal may set a different notice address. It does not move the governing law unless it says so in writing.
